The process can relieve financial pressure on a business and allow it to thrive again. A <span data-term-id=\"58324790\">Chapter 11 filing<\/span> can prove too complex and expensive for many <span data-term-id=\"58324775\">small business<\/span><span data-term-id=\"58324775\"> owners<\/span>. Congress moved to provide relief in 2019.<\/p>\n<p>An important piece of legislation added an amendment to <span data-term-id=\"58324744\">Chapter 11 bankruptcy<\/span>. This new law makes <span data-term-id=\"58324749\">restructuring<\/span> easier and more available to <span data-term-id=\"58324740\">small businesses<\/span>. Subchapter V <span data-term-id=\"58324789\">streamlines<\/span> the bankruptcy process. It accelerates deadlines, lowers fees, and speeds up the confirmation process of the <span data-term-id=\"58324749\">restructuring<\/span> plan. This guide explains how <span data-term-id=\"58324781\">small business<\/span> <span data-term-id=\"58324744\">Chapter 11<\/span> <span data-term-id=\"58324764\">bankruptcy<\/span><span data-term-id=\"58324764\"> law<\/span> works under Subchapter V and whether your business qualifies.<\/p>\n<h2>What Are the Types of Business Bankruptcy?<\/h2>\n<p>Business owners considering\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy.html\">bankruptcy<\/a>\u00a0can file under one of two chapters. Each offers different benefits to business owners:<\/p>\n<ul>\n<li><strong>Chapter 7<\/strong>:\u00a0This is a\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy\/chapter-7.html\"><span data-term-id=\"58324757\">liquidation<\/span> bankruptcy<\/a>\u00a0for businesses that are no longer profitable. Under a <span data-term-id=\"58324748\">U.S. trustee<\/span>, you must sell all your business assets to pay creditors and close the business. In return, you will be generally debt-free.<\/li>\n<li><strong>Chapter 11<\/strong>:<strong>\u00a0<\/strong>This is a\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy\/business-bankruptcy\/chapter-11-bankruptcy.html\">reorganization bankruptcy<\/a>\u00a0in which you can force creditors to negotiate payment plans while your business remains operational. This lets you repay most of your secured debts while continuing to run the business. The court may discharge some of your <span data-term-id=\"58324756\">unsecured debt<\/span>.<\/li>\n<\/ul>\n<p>Both types of bankruptcy offer an\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy\/what-is-bankruptcy\/the-automatic-stay-stopping-creditors-with-bankruptcy.html\"><span data-term-id=\"58324774\">automatic stay<\/span><\/a>\u00a0to protect you from creditors. This is often the most significant benefit of filing for bankruptcy. The <span data-term-id=\"58324774\">automatic stay<\/span> keeps creditors from collecting and will stop most court actions against you.<\/p>\n<h2>The <span data-term-id=\"58324751\">Small Business<\/span><span data-term-id=\"58324751\"> Reorganization Act<\/span> of 2019<\/h2>\n<p>Congress enacted the\u00a0<a href=\"https:\/\/www.flsb.uscourts.gov\/small-business-reorganization-act-2019-sbra\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324751\">Small Business<\/span><span data-term-id=\"58324751\"> Reorganization Act<\/span> of 2019<\/a>\u00a0(<span data-term-id=\"58324759\">SBRA<\/span>). The <span data-term-id=\"58324759\">SBRA<\/span> added Subchapter V, also called Subchapter 5, to\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy\/business-bankruptcy\/chapter-11-bankruptcy.html\">Chapter 11<\/a>\u00a0of the\u00a0<a href=\"https:\/\/codes.findlaw.com\/us\/title-11-bankruptcy\/\" target=\"_blank\" rel=\"noopener\">U.S. <span data-term-id=\"58324741\">Bankruptcy Code<\/span><\/a>. Subchapter V makes the reorganization bankruptcy process\u00a0<a href=\"https:\/\/www.uscourts.gov\/services-forms\/bankruptcy\/bankruptcy-basics\/chapter-11-bankruptcy-basics#:~:text=In%20order%20to%20file%20a,from%20the%20commercial%20or%20business\" target=\"_blank\" rel=\"noopener\">more accessible to <span data-term-id=\"58324740\">small businesses<\/span><\/a> after going into effect in 2020.<\/p>\n<p>Subchapter V <span data-term-id=\"58324753\">bankruptcy cases<\/span> are less expensive and time-consuming than <span data-term-id=\"58324744\">Chapter 11 bankruptcy<\/span>. They give viable <span data-term-id=\"58324740\">small businesses<\/span> with trouble paying their obligations a simplified process for reducing their debt.<\/p>\n<p>Businesses that file Subchapter V can force creditors to accept <span data-term-id=\"58324772\">court-approved<\/span> <span data-term-id=\"58324754\">repayment plans<\/span>. The repayment period and <span data-term-id=\"58324768\">plan of reorganization<\/span> lasts three to five years. Businesses can also use the plan to shed some of their <span data-term-id=\"58324756\">unsecured debt<\/span>. <span data-term-id=\"58324756\">Unsecured debt<\/span> is money owed without any offered collateral, like most credit card debt. Secured debts include a mortgage or car loan, as the creditor or lender can seize your house or car if you don\u2019t pay as required.<\/p>\n<p>Within the first 60 days of filing this petition,\u00a0<a href=\"https:\/\/www.justice.gov\/ust\/file\/subchapterv_trustee_handbook.pdf\/dl\" target=\"_blank\" rel=\"noopener\">there will be a status conference before the court<\/a>. The <span data-term-id=\"58324745\">small business<\/span><span data-term-id=\"58324745\"> debtor<\/span> must submit a consensual plan for bankruptcy. It must detail efforts to treat creditors fairly and pay down debts.<\/p>\n<h2>How Subchapter V Helps <span data-term-id=\"58324740\">Small Businesses<\/span><\/h2>\n<p>Subchapter V is a simplified version of a <span data-term-id=\"58324780\">traditional Chapter 11<\/span>. It provides smaller businesses a faster, less expensive way to reorganize their debt payment. Where a <span data-term-id=\"58324780\">traditional Chapter 11<\/span> can cost upward of $100K, take several years, and require the negotiation efforts of skilled <a href=\"https:\/\/lawyers.findlaw.com\/bankruptcy-law\/?fli=dcta\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324773\">bankruptcy lawyers<\/span><\/a>, subchapter V eliminates most of those in favor of a quick resolution.<\/p>\n<h3>Chapter 11 vs. Subchapter V<\/h3>\n<p>Subchapter V saves <span data-term-id=\"58324740\">small businesses<\/span> time and money by abandoning the <span data-term-id=\"58324742\">creditors\u2019 committee<\/span>. In some cases, a Section 341 <span data-term-id=\"58324788\">Meeting of Creditors<\/span> may be required. The debtor must file a reorganization plan within 90 days of filing their petition. Although creditors may challenge the debtor\u2019s plan, the court can force them to accept it if it is \u201cfair and equitable.\u201d This process is called \u201ccramdown.\u201d<\/p>\n<p>Debtors may keep equity in the company without paying off <span data-term-id=\"58324761\">unsecured creditors<\/span> if the plan dedicates three to five years of projected disposable income to the creditors equally. A <span data-term-id=\"58324740\">small business<\/span> may still be a <span data-term-id=\"58324758\">Chapter 11 debtor<\/span> if their debt burden exceeds the limit of $3.42 million.<\/p>\n<h2>Benefits of Subchapter V Bankruptcy<\/h2>\n<p>Filing a <span data-term-id=\"58324766\">small business<\/span><span data-term-id=\"58324766\"> bankruptcy<\/span> under Subchapter V of Chapter 11 offers the following benefits:<\/p>\n<ul>\n<li><strong>Continued business operations<\/strong>:<strong>\u00a0<\/strong>You are the &#8220;<a href=\"https:\/\/dictionary.findlaw.com\/definition\/debtor-in-possession.html\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324746\">debtor in possession<\/span><\/a>&#8221; of your business. This means you will continue to own and run your business if you stick to the payment plan. You must also pay your <span data-term-id=\"58324761\">unsecured creditors<\/span> with your\u00a0<a href=\"https:\/\/dictionary.findlaw.com\/definition\/disposable-income.html\" target=\"_blank\" rel=\"noopener\">disposable income<\/a>\u00a0while the plan is in place.<\/li>\n<li><strong>No creditor approval<\/strong>:\u00a0If the <span data-term-id=\"58324747\">bankruptcy court<\/span> finds your reorganization plan fair, it can confirm it without approval. No\u00a0<a href=\"https:\/\/www.justice.gov\/ust\/moc\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324742\">creditors committee<\/span><\/a>\u00a0needs to meet. A <span data-term-id=\"58324780\">traditional <\/span><span data-term-id=\"58324787\">Chapter 11<\/span><span data-term-id=\"58324787\"> plan<\/span> requires creditor approval, which is time-consuming.<\/li>\n<li><strong>No absolute priority rule<\/strong>:\u00a0The\u00a0<a href=\"https:\/\/dictionary.findlaw.com\/definition\/absolute-priority-rule.html\" target=\"_blank\" rel=\"noopener\">absolute priority rule<\/a>\u00a0does not apply to Subchapter V <span data-term-id=\"58324753\">bankruptcy cases<\/span>. This rule says that higher-priority creditors get paid in full before lesser creditors. The absence of this rule makes the process easier. The court must make your plan payments fair and equitable.<\/li>\n<li><strong>Only your business can file a plan<\/strong>:\u00a0In other <span data-term-id=\"58324743\">Chapter 11 cases<\/span>, any party in interest, like a creditor, can submit a plan on your behalf. In Subchapter V, only the individual debtor can submit one.<\/li>\n<li><strong>No disclosure needed<\/strong>:\u00a0In <span data-term-id=\"58324743\">Chapter 11 cases<\/span>, you must file a detailed <span data-term-id=\"58324755\">disclosure statement<\/span> with the court. The statement provides a breakdown of your business, assets, and liabilities and if you can repay your creditors. A <span data-term-id=\"58324785\">Subchapter V case<\/span> doesn\u2019t need a <span data-term-id=\"58324755\">disclosure statement<\/span> and has reduced reporting requirements.<\/li>\n<li><strong>Special trustee<\/strong>:\u00a0You will continue operating your business in bankruptcy. The court designates a Subchapter V trustee to oversee the debtor\u2019s business and operations. The trustee makes recommendations to the court about confirming the reorganization plan.<\/li>\n<li><strong>Expenses paid in installments<\/strong>:\u00a0In a <span data-term-id=\"58324743\">Chapter 11 case<\/span>, you must pay all administrative expenses when the plan becomes effective. Subchapter V allows you to pay the costs over the plan\u2019s length.<\/li>\n<\/ul>\n<p>If these seem somewhat complex, it\u2019s because filing Subchapter V is not simple. Consider speaking with a <a href=\"https:\/\/lawyers.findlaw.com\/bankruptcy-law\/?fli=dcta\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324763\">bankruptcy attorney<\/span><\/a> if a filing seems unavoidable.<\/p>\n<h2>Who Can Claim Subchapter V Bankruptcy?<\/h2>\n<p>To qualify for a Subchapter V bankruptcy, a business must engage in commercial business activity and meet a noncontingent debt limit. The CARES Act of 2020 raised the debt limit to $7.5 million, but that expired in 2024. The current amount, adjusted for inflation, is about $3.42 million. Legislation currently before Congress would set the limit permanently at $7.5 million for both secured and <span data-term-id=\"58324756\">unsecured debt<\/span>. The higher limit would allow more <span data-term-id=\"58324760\">small business<\/span><span data-term-id=\"58324760\"> cases<\/span> to qualify for Subchapter V reorganization.<\/p>\n<p>In its current form, Subchapter V excludes <a href=\"https:\/\/www.uscourts.gov\/services-forms\/bankruptcy\/bankruptcy-basics\/chapter-11-bankruptcy-basics\" target=\"_blank\" rel=\"noopener\">single-asset <span data-term-id=\"58324786\">real estate<\/span> debtors<\/a>. Single-asset <span data-term-id=\"58324786\">real estate<\/span> is one whose primary activity is owning and running a single property. Debts may not include those owed to company insiders. At least 50% of the business debt must be owed to outside creditors.<\/p>\n<h2>Creditors Still Have Protections<\/h2>\n<p>Subchapter V made filing for a reorganization bankruptcy easier for <span data-term-id=\"58324740\">small businesses<\/span>. Creditors still have the following Chapter 11 protections:<\/p>\n<ul>\n<li>The reorganization must offer creditors at least what they would have received had you filed under\u00a0<a href=\"https:\/\/www.findlaw.com\/bankruptcy\/chapter-7.html\">Chapter 7<\/a><\/li>\n<li><a href=\"https:\/\/www.findlaw.com\/legalblogs\/small-business\/what-is-a-secured-creditor\/\">Secured creditors<\/a>\u00a0may keep their rights to the property they put up as collateral<\/li>\n<li>Secured creditors can protect their collateral and seek relief from the <span data-term-id=\"58324774\">automatic stay<\/span><\/li>\n<\/ul>\n<p>Creditors may use these rights to force you to give them better treatment under your plan.<\/p>\n<h2>Is Your <span data-term-id=\"58324740\">Small Business<\/span> Eligible for Subchapter V?<\/h2>\n<p>If your <span data-term-id=\"58324740\">small business<\/span> has too much debt burden, you may qualify for a Subchapter V reorganization instead of the more costly Chapter 11. You should talk to a <a href=\"https:\/\/lawyers.findlaw.com\/bankruptcy-law\/?fli=dcta\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"58324773\">bankruptcy lawyer<\/span><\/a> or accountant, but you can also do your own financial review. Ask yourself these questions:<\/p>\n<ul>\n<li>Are you a profitable commercial business? If you can remain in operation, you can file a Subchapter V and attempt to repay your creditors.<\/li>\n<li>Are you a privately held company? Publicly traded businesses cannot file Subchapter V.<\/li>\n<li>Is your debt below the current federal limit? If your debt exceeds the amount, you must file a <span data-term-id=\"58324780\">traditional Chapter 11<\/span>.<\/li>\n<li>Is at least 50% of your debt owed to outside creditors? At least half your debt must be commercial debt.<\/li>\n<\/ul>\n<p><span data-term-id=\"58324791\">Sole proprietorships<\/span>, <span data-term-id=\"58324778\">partnerships<\/span>, and privately-held corporations can all qualify for Subchapter V.
