This means your business&#8217;s sales tax responsibilities depend heavily\u00a0on what you sell and where you sell it.<\/p>\n<h2>Business <span data-term-id=\"56395010\">Sales <\/span><span data-term-id=\"56395020\">Tax<\/span><span data-term-id=\"56395020\"> Obligations<\/span><\/h2>\n<p>When businesses <span data-term-id=\"56395034\">collect <\/span><span data-term-id=\"56395010\">sales tax<\/span>, they\u2019re acting as tax collectors on behalf of the government. <span data-term-id=\"56395034\">Collecting <\/span><span data-term-id=\"56395010\">sales tax<\/span> is only one part of a business\u2019s <span data-term-id=\"56395010\">sales <\/span><span data-term-id=\"56395020\">tax<\/span><span data-term-id=\"56395020\"> obligations<\/span>.<\/p>\n<p>In most locations, businesses need to report total sales, taxable sales, and the amount of tax collected. Businesses that charge <span data-term-id=\"56395010\">sales tax<\/span> must also remit tax payments to the appropriate <span data-term-id=\"56395031\">tax authority<\/span>. This is usually the\u00a0<a href=\"https:\/\/www.findlaw.com\/tax\/tax-laws-forms\/state-tax-codes.html\">state or local Department of Revenue<\/a>. The total amount of <span data-term-id=\"56395010\">sales tax<\/span> the business is responsible for collecting from customers and remitting to the <span data-term-id=\"56395031\">tax authorities<\/span> is known as its <span data-term-id=\"56395010\">sales <\/span><span data-term-id=\"56395018\">tax<\/span><span data-term-id=\"56395018\"> liability<\/span>.<\/p>\n<h2><span data-term-id=\"56395022\">Use Tax<\/span><\/h2>\n<p>Although distinct from <span data-term-id=\"56395010\">sales tax<\/span>, <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/business-taxes\/sales-and-use-tax.html#:~:text=to%20conducting%20transactions.-,Use%20Tax,-Use%20taxes%20are\"><span data-term-id=\"56395022\">use tax<\/span><\/a> is related to a business\u2019s <span data-term-id=\"56395010\">sales <\/span><span data-term-id=\"56395020\">tax<\/span><span data-term-id=\"56395020\"> obligations<\/span>. It refers to the tax on goods purchased without paying <span data-term-id=\"56395010\">sales tax<\/span>.<\/p>\n<p>Stemming from online or out-of-state purchases, <span data-term-id=\"56395022\">use tax<\/span> applies to individuals and businesses. If a business buys something for its own use (not resale) and doesn\u2019t pay <span data-term-id=\"56395010\">sales tax<\/span>, it may owe <span data-term-id=\"56395022\">use tax<\/span>. Many states combine sales and <span data-term-id=\"56395022\">use tax<\/span> reporting on a single <a href=\"https:\/\/www.findlaw.com\/tax\/tax-laws-forms\/state-tax-forms.html\">tax form<\/a>, even though businesses are considered <span data-term-id=\"56395011\">taxpayers<\/span> for <span data-term-id=\"56395022\">use tax<\/span> purposes.<\/p>\n<h2><span data-term-id=\"56395016\">Unpaid <\/span><span data-term-id=\"56395010\">Sales Tax<\/span> Consequences<\/h2>\n<p>Managing <span data-term-id=\"56395010\">sales tax<\/span> can be complex, especially if you sell in multiple states or <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/business-taxes\/do-you-have-to-pay-sales-tax-on-internet-purchases.html\">online<\/a>. Over time, this can increase your <span data-term-id=\"56395014\">tax debt<\/span>. The more you owe, the greater the fees, penalties, and interest. This can add up, especially if you owe several years of <span data-term-id=\"56395010\">sales tax<\/span>.<\/p>\n<h3><span data-term-id=\"56395047\">Tax <\/span><span data-term-id=\"56395015\">Liens<\/span><\/h3>\n<p>The government may also place a <a href=\"https:\/\/www.findlaw.com\/legalblogs\/small-business\/how-to-get-rid-of-a-tax-lien-on-your-business\/\"><span data-term-id=\"56395047\">tax <\/span><span data-term-id=\"56395015\">lien<\/span><\/a> on the business\u2019s property, which may affect <span data-term-id=\"56395049\">bank accounts<\/span> and other assets. <span data-term-id=\"56395015\">Liens<\/span> can be particularly problematic for some small <span data-term-id=\"56395019\">business owners<\/span> because, under certain circumstances, the government may also be able to place a <a href=\"https:\/\/www.findlaw.com\/tax\/federal-taxes\/what-is-a-tax-lien-.html\"><span data-term-id=\"56395015\">lien<\/span> on the owner\u2019s personal property<\/a>.<\/p>\n<p>In <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/sole-proprietorship-advantages-and-disadvantages.html\">sole proprietorships<\/a> and some partnerships, there\u2019s no legal separation between the business and the owner\u2019s <span data-term-id=\"56395033\">personal liability<\/span>, making <span data-term-id=\"56395044\">personal assets<\/span> vulnerable. Corporations and <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/llc-definition.html\">limited liability companies (LLCs)<\/a> usually enjoy more protection from <span data-term-id=\"56395033\">personal liability<\/span>, but it\u2019s not absolute.<\/p>\n<h3>Tax Levies<\/h3>\n<p>In extreme cases, the government can seize <span data-term-id=\"56395053\">business assets<\/span> to satisfy the <span data-term-id=\"56395014\">tax debt<\/span>. This is called a tax levy. Whether the state places a levy on business or personal accounts depends on several factors, such as the amount owed and the reason for the delinquency.<\/p>\n<p>As a general matter, more property is exempt from a levy than from a <a href=\"https:\/\/www.findlaw.com\/tax\/tax-problems-audits\/how-to-resolve-a-tax-lien.html\"><span data-term-id=\"56395015\">lien<\/span><\/a>. That doesn\u2019t mean your personal <span data-term-id=\"56395049\">bank accounts<\/span> will be exempt from a levy. If the government can pierce the corporate veil, there are few limits to what it can do to collect the <span data-term-id=\"56395014\">tax debt<\/span>.<\/p>\n<h2><span data-term-id=\"56395033\">Personal Liability<\/span>: How State Tax Pierces the Corporate Veil<\/h2>\n<p>Usually, <span data-term-id=\"56395019\">business owners<\/span> don\u2019t have to worry about business debts affecting their personal income and assets. This is especially true for corporations and <a href=\"https:\/\/service.findlaw.com\/register-an-llc-today\/ad.html?DCMP=bing:ppc:diy_biz:638580587::1328212426433710&amp;sid=92606&amp;source=ppc&amp;msclkid=b100fdfa6b881376217394726816b812\" target=\"_blank\" rel=\"noopener\">limited liability companies<\/a> (LLC). In general, these entities are protected from business creditors under the doctrine of the \u201ccorporate veil.\u201d<\/p>\n<p>A <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/liability-and-insurance\/officer-and-director-liability-piercing-the-corporate-veil.html\">corporate veil<\/a> means that the company shields <span data-term-id=\"56395019\">business owners<\/span> from certain collection activities. For example, if you own a retail store and fail to pay one of your suppliers, they can pursue the company for the money owed, but not your personal holdings.<\/p>\n<p>This isn\u2019t the case with <span data-term-id=\"56395048\">state <\/span><span data-term-id=\"56395010\">sales taxes<\/span>. If your company fails to pay <span data-term-id=\"56395048\">state <\/span><span data-term-id=\"56395010\">sales taxes<\/span>, the government can often pursue the <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/business-taxes\/tax-checklist-for-starting-a-small-business.html\"><span data-term-id=\"56395019\">business owner<\/span><\/a> for the <span data-term-id=\"56395016\">unpaid <\/span><span data-term-id=\"56395010\">sales taxes<\/span>.<\/p>\n<h2><span data-term-id=\"56395010\">Sales Tax<\/span> and Trust Funds<\/h2>\n<p>We\u2019ve established that the money you collect in <span data-term-id=\"56395010\">sales tax<\/span> does not belong to you. You collect this money on behalf of the state. The business acts as a trust, and the money it collects in <span data-term-id=\"56395010\">sales tax<\/span> operates as a <a href=\"https:\/\/www.findlaw.com\/estate\/trusts\/what-is-a-trust-fund.html\">trust fund<\/a>.<\/p>\n<p>When it comes to <span data-term-id=\"56395016\">unpaid <\/span><span data-term-id=\"56395010\">sales tax<\/span>, <a href=\"https:\/\/www.findlaw.com\/tax\/federal-taxes\/sole-proprietors-and-taxes.html\">sole proprietors<\/a> and partners are automatically liable for the debt. While corporate owners and LLC owners are not automatically responsible, that doesn\u2019t mean the state cannot come after them for the <span data-term-id=\"56395018\">tax liability<\/span>.<\/p>\n<h2>Your First Move: <span data-term-id=\"56395036\">Voluntary Disclosure<\/span><span data-term-id=\"56395036\"> Agreements<\/span><\/h2>\n<p>Most companies have no problem turning over any state taxes they collect to the state treasurer. Unfortunately, things happen, and some <span data-term-id=\"56395019\">business owners<\/span>, for whatever reason, are not able to keep up with these deposits.<\/p>\n<p>Some companies either intentionally or inadvertently use <span data-term-id=\"56395034\">collected <\/span><span data-term-id=\"56395010\">sales taxes<\/span> to tide the business over until its <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/business-debt-and-bankruptcy\/help-for-your-business-during-financial-trouble.html\"><span data-term-id=\"56395029\">cash flow<\/span> problems<\/a> resolve. Other times, making <span data-term-id=\"56395045\">late payments<\/span> on <span data-term-id=\"56395010\">sales taxes<\/span> is due to nothing more than poor management and a lack of reliable accounting software.<\/p>\n<p>Regardless of the reason, it\u2019s in your best interest as a <span data-term-id=\"56395019\">business owner<\/span> to do whatever you can to avoid the state\u2019s aggressive <a href=\"https:\/\/www.findlaw.com\/tax\/tax-problems-audits\/tips-on-paying-back-taxes.html\">collection activity<\/a>. One useful tool is something called a \u201c<span data-term-id=\"56395036\">Voluntary Disclosure<\/span><span data-term-id=\"56395036\"> Agreement<\/span>.\u201d<\/p>\n<p><span data-term-id=\"56395036\">Voluntary disclosure<\/span><span data-term-id=\"56395036\"> agreements<\/span> (<span data-term-id=\"56395050\">VDA<\/span>) are the most critical and actionable solutions for companies owing <span data-term-id=\"56395010\">sales tax<\/span>.
