No other Michigan LLC can have the same business name. In Michigan, under <a href=\"https:\/\/codes.findlaw.com\/mi\/chapter-450-corporations\/mi-comp-laws-450-4204\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">MCLS \u00a7450.4204<\/span><\/a>, an LLC name cannot include words or phrases that:<\/p>\n<ul>\n<li>Imply the LLC is a\u00a0<a title=\"corporation\" href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/corporations.html\">corporation<\/a> (it cannot include &#8220;corporation,&#8221; &#8220;corp.,&#8221; &#8220;incorporated,&#8221; or &#8220;inc.&#8221;)<\/li>\n<li>Indicate the LLC is associated with a government agency<\/li>\n<li>Suggest the LLC&#8217;s purpose is other than those included in the articles of organization<\/li>\n<li>Indicate that the LLC is a professional organization like a law firm or a doctor&#8217;s office without meeting additional criteria<\/li>\n<li>State that the LLC is a bank unless it meets specific criteria<\/li>\n<li>Are\u00a0<a title=\"Michigan Law restrictions\" href=\"https:\/\/www.michigan.gov\/-\/media\/Project\/Websites\/lara\/cscl\/Folder3\/restrict.pdf?rev=d1c303466ca7427484c0dc6623e4dd73\" target=\"_blank\" rel=\"noopener\">restricted by Michigan Law<\/a><\/li>\n<\/ul>\n<p>The name you choose must include the terms &#8220;limited liability company,&#8221; &#8220;LLC,&#8221; or &#8220;LC.&#8221; If it is a low-profit LLC, then it must include the terms &#8220;low-profit limited liability company,&#8221; &#8220;L3C,&#8221; or &#8220;l3c.&#8221;<\/p>\n<p>You will also want to check whether another business has\u00a0<a title=\"trademark\" href=\"https:\/\/www.findlaw.com\/smallbusiness\/intellectual-property\/trademarks.html\">trademarked<\/a>\u00a0your preferred business name. Your business could be sued for infringement if the trademark holder believes your use of the word has damaged its business. A quick check of the trademark database maintained by the\u00a0<a title=\"U.S. Patent and Trademark Office trademark database\" href=\"https:\/\/www.uspto.gov\/trademarks\/search\" target=\"_blank\" rel=\"noopener\">U.S. Patent and Trademark Office<\/a>\u00a0(USPTO) should tell you whether your name is under trademark protection.<\/p>\n<p><b>Reserving Your Name<\/b><\/p>\n<p>Have you picked your business name but aren&#8217;t yet ready to file? If so, you&#8217;re in luck! The <a title=\"what is a registered agent\" href=\"https:\/\/www.findlaw.com\/smallbusiness\/starting-a-business\/what-is-a-registered-agent-.html\">registered agent<\/a>\u00a0maintains a registered office and is responsible for accepting government notices and service of process on behalf of the LLC. The registered agent must have a physical street address in Michigan and available during typical business hours.<\/p>\n<p>You can name yourself or someone else with your LLC as your registered agent. Like corporate bylaws, an operating agreement allows you to set out the relationships between the LLC&#8217;s owners, who will manage it, and how the owners will receive compensation.<\/p>\n<p>Most LLC operating agreements contain the following information:<\/p>\n<ul>\n<li>The names of the business owners (usually referred to as &quot;members&quot;) and the ownership structure<\/li>\n<li>How to distribute the company&#8217;s profits and losses among the members<\/li>\n<li>Whether its owners will manage the LLC or delegate operational decisions to managers<\/li>\n<li>How much capital was contributed by each owner, their ownership share, and voting rights<\/li>\n<li>Procedures for adding or removing members from the LLC<\/li>\n<li>Procedures for dissolution<\/li>\n<\/ul>\n<p>Since there is no standard format for drafting an LLC operating agreement, you can feel free to address any other necessary issues. You can get a&nbsp;<a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/apply-for-an-employer-identification-number-ein-online\" target=\"_blank\" title=\"EIN application\" rel=\"noopener\">free EIN in minutes<\/a>&nbsp;by applying on the IRS website.<\/p>\n<p>An EIN allows your new business to:<\/p>\n<ul>\n<li>Open a business bank account<\/li>\n<li>Get a credit card<\/li>\n<li>Hire employees<\/li>\n<li>Apply for licenses<\/li>\n<\/ul>\n<p>If you are operating a&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/what-is-a-disregarded-entity-llc-.html\" title=\"single-member LLC\">single-member LLC<\/a>&nbsp;without employees, you are usually required to file with the IRS using your Social Security Number, so you do not need an EIN. However, if you do hire employees, you will need an EIN.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            6\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"\">Set Up Business and Tax Accounts<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>When you start a business in Michigan, you must register for tax and business accounts to operate your business.
