Rev. Stat. \u00a721-108<\/span><\/a>. The name must be different from any other business name operating in Nebraska and have the ending &#8220;limited liability company&#8221; or an abbreviation such as:<\/p>\n<ul>\n<li>Limited Company<\/li>\n<li>L.L.C.<\/li>\n<li>LLC<\/li>\n<li>LC<\/li>\n<li>Ltd. Co.<\/li>\n<\/ul>\n<p>The LLC name cannot use any variation of the word &#8220;corporation.&#8221; It cannot use obscene language or claim a profession or business affiliation that does not exist.<\/p>\n<p><b>Check the Secretary of State&#8217;s Name Database.<\/b>\u00a0First, search the Secretary of State\u00a0<a title=\"business name search\" href=\"https:\/\/www.nebraska.gov\/sos\/corp\/corpsearch.cgi?nav=search\" target=\"_blank\" rel=\"noopener\">business entity search page<\/a>\u00a0to make sure that your chosen name isn&#8217;t already in use by an existing company. This search is just a preliminary step to the state filing. You still need to go through the registration process to get your name approved by the state.<\/p>\n<p><b>Reserve Your Business Name.<\/b> Under <a href=\"https:\/\/codes.findlaw.com\/ne\/chapter-21-corporations-and-other-companies\/ne-rev-st-sect-21-109\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Nev. Rev. Stat. \u00a721-109<\/span><\/a>, Nebraska allows you to <a title=\"reserve a business name\" href=\"http:\/\/www.sos.state.ne.us\/business\/corp_serv\/pdf\/21_2601.pdf\" target=\"_blank\" rel=\"noopener\">reserve a business name<\/a>\u00a0for 120 days during your LLC formation process. Reserving a name is not a guarantee that your name will be approved, but it keeps anyone else from using it for that time. The name reservation fee is $30.<\/p>\n<p><b>Protect Your Business Name.\u00a0<\/b>Next, make sure that no one else can use your business name. You can do this by reserving a domain name and\/or trademarking your name.<\/p>\n<ul>\n<li><b>Domain Name.<\/b>\u00a0Do a name search on the internet to determine that your\u00a0<a title=\"domain name availability\" href=\"https:\/\/www.findlaw.com\/smallbusiness\/intellectual-property\/registering-for-a-domain-name-trademark-what-you-should-know.html\">internet domain name<\/a>\u00a0is available. Registering the business domain name to protect your name is worth the nominal fee.<\/li>\n<li><b>Trademark<\/b>.\u00a0If you want to protect your trade name or brand, trademark the name with the\u00a0<a title=\"United States Patent and Trademark Office \" href=\"https:\/\/www.uspto.gov\/\" target=\"_blank\" rel=\"noopener\">United States Patent and Trademark Office<\/a>\u00a0(USPTO). Although it may take time and money, it will keep others from infringing on your brand. Once you receive your federal trademark, you can register it as a\u00a0<a title=\"Nebraska trademark or service mark\" href=\"https:\/\/www.nebraska.gov\/apps-sos-edocs\/\" target=\"_blank\" rel=\"noopener\">Nebraska trademark or service mark<\/a>. Stat. \u00a721-113<\/span><\/a> the State of Nebraska requires an LLC to have a registered agent for <a title=\"service of process \" href=\"https:\/\/dictionary.findlaw.com\/definition\/service-of-process.html\" target=\"_blank\" rel=\"noopener\">service of process<\/a>\u00a0before formally filing with the state. A registered agent receives process (legal documents) on behalf of the LLC.<\/p>\n<p>A Nebraska registered agent must be an individual or a company with a physical Nebraska street address. A registered office can&#8217;t use a P.O. Box.<\/p>\n<p>Because the registered agent must personally receive service at that registered address during business hours from 9 a.m. to 5 p.m., Monday through Friday, some business owners pay a\u00a0<a class=\"diy-biz-txt\" title=\"registered agent service company\" href=\"https:\/\/www.findlaw.com\/forms\/business-formation.html\">registered agent service company<\/a>\u00a0to serve as the registered agent.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            3\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"\">File Your Certificate of Organization<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>The Nebraska Secretary of State has an\u00a0<a title=\"Nebraska e-Delivery online business services portal\" href=\"https:\/\/www.nebraska.gov\/apps-sos-edocs\/\" target=\"_blank\" rel=\"noopener\">e-Delivery online business services portal<\/a>. The portal allows you to download, complete and sign a certificate of organization for your LLC. You upload the certificate and pay the filing fees with a credit card. You can create a Nebraska.gov subscriber account if you think you will process more than one transaction. The cost to file a certificate of organization online is $100. If submitted in person, the fee is $110. There is a $2 convenience fee if using a credit card.<\/p>\n<p>To start an LLC, per <a href=\"https:\/\/codes.findlaw.com\/ne\/chapter-21-corporations-and-other-companies\/ne-rev-st-sect-21-117\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">Neb. Rev. It sets forth the business structure and rules of how the LLC will operate. Nebraska does not require proof of an operating agreement; however, you may want to draft one for other reasons.<\/p>\n<p>When opening a business bank account or taking out a loan, the bank may want to see your operating agreement and certificate of organization. Additionally, if you&#8217;re going to attract new members or sell the LLC, you will need an operating agreement.<\/p>\n<p>An operating agreement can be relatively simple and set forth:<\/p>\n<ul>\n<li>Members&#8217; names and their percentage of ownership<\/li>\n<li>Voting rights and when meetings occur<\/li>\n<li>Powers and duties of members and managers<\/li>\n<li>Profits and loss distribution methods<\/li>\n<li>Procedures for holding meetings<\/li>\n<li>How interest in the LLC is transferred (i.e., buyout, buy-sell agreements, transfer on death)<\/li>\n<\/ul>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            5\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"\">Get an EIN (Employer Identification Number)<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>You may or may not need to apply for a Federal Employer Identification Number (EIN) with the Internal Revenue Service. An EIN is a taxpayer identification number for your business similar to a Social Security number for a person. However, if you have employees, or the LLC has more than one member, the LLC must have its own EIN. You apply for the EIN on the&nbsp;<a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/apply-for-an-employer-identification-number-ein-online\" target=\"_blank\" title=\"EIN application on IRS website\" rel=\"noopener\">IRS website<\/a>.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            6\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"\">Set Up Business and Tax Accounts<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>Any new business has state and federal obligations for registering the business and paying taxes. A Nebraska LLC is no different. However, in addition to the business registrations and tax accounts, Nebraska has two unique requirements:<\/p>\n<ul>\n<li><b>Publication Requirement.\u00a0<\/b>As mentioned above, all newly formed LLCs publish a notice of organization in a newspaper for three consecutive weeks. After the newspaper sends you the Proof of Publication, you file it with the Secretary of State.<\/li>\n<li><b>Biennial Reports<\/b>.\u00a0Nebraska LLCs must file a\u00a0<a title=\"filing annual reporsts\" href=\"https:\/\/www.nebraska.gov\/corp_filing\/\" target=\"_blank\" rel=\"noopener\">biennial report with the Secretary of State<\/a> in odd-numbered years to remain in good standing. The biennial reports are due on the odd-numbered years following your date of organization.<\/li>\n<\/ul>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            7\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"\">Check for Additional Federal or State Requirements<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>Check state and federal websites to determine if there are any specific rules for your business. For example, some LLCs may have to file a <a href=\"https:\/\/www.fincen.gov\/boi\" target=\"_blank\" rel=\"noopener\">Beneficial Ownership Information Report (BOIR)<\/a>&nbsp; with FinCEN. Under current law, LLCs created in the United States are \u201cdomestic reporting companies\u201d and are exempt from the BOIR requirement.<\/p>\n<p>However, laws may change, so stay up to date with state and federal requirements.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n            <\/div>\n<\/div>\n\n\n\n<h2><a id=\"business\"><\/a>Business and Tax Requirements in Nebraska<\/h2>\n<p>When you start a business and hire employees you must pay taxes and withholdings. Additionally, depending on your business you need business licenses and permits.<\/p>\n<h3>State Business Tax<\/h3>\n<p>When you start a business in Nebraska, you may need to register your new business online with the&nbsp;<a href=\"https:\/\/revenue.nebraska.gov\/businesses\/register-your-new-business-online\" target=\"_blank\" rel=\"noopener\">Nebraska Department of Revenue<\/a>. Your state taxes depend on how you structure your L.L.C. Single-member LLCs treated as &#8220;disregarded entities&#8221; for federal tax purposes have profits and losses reported on individual tax returns. This pass-through taxation is true as well for multi-member LLCs. If you elect your LLC to be a C-Corp, you pay a&nbsp;<a href=\"https:\/\/revenue.nebraska.gov\/about\/legal-information\/regulations\/chapter-24-corporate-income-tax\" target=\"_blank\" rel=\"noopener\">state corporate tax on LLC profits<\/a>.<\/p>\n<h3>State Employer Tax<\/h3>\n<p>You must establish an employer account if you plan to have employees in your LLC. You can register online with the Nebraska Department of Labor. As an employer, you must:<\/p>\n<ul>\n<li>Withhold taxes \u2013 set up an&nbsp;<a href=\"https:\/\/revenue.nebraska.gov\/businesses\/nebraska-income-tax-withholding\/online-filing\" target=\"_blank\" rel=\"noopener\">income tax withholding account<\/a><\/li>\n<li>Pay unemployment insurance \u2013 set up an&nbsp;<a href=\"https:\/\/dol.nebraska.gov\/UITax\" target=\"_blank\" rel=\"noopener\">unemployment insurance tax account<\/a><\/li>\n<li>Carry workers&#8217; compensation insurance<\/li>\n<\/ul>\n<h3>Sales and Use Taxes<\/h3>\n<p>A sales tax applies if your company sells anything. The Nebraska sales tax is 5.5%. The purchaser pays the tax, and you, as the seller collect and remit the tax to the state. Register your business and set up a&nbsp;<a href=\"https:\/\/revenue.nebraska.gov\/businesses\/sales-and-use-tax\" target=\"_blank\" rel=\"noopener\">Nebraska sales and use tax account<\/a>&nbsp;with the Department of Revenue.<\/p>\n<h3>Business License and Permits<\/h3>\n<p>Depending on the type of business, you may need to apply for specific business licenses or permits. Check the&nbsp;<a href=\"https:\/\/www.nebraska.gov\/business\/business-licensing\/#gsc.tab=0\" target=\"_blank\" rel=\"noopener\">Nebraska business licensing website<\/a>&nbsp;and your town and county offices to determine your requirements.<\/p>\n<h3>Registration in Other States<\/h3>\n<p>If you want to operate your LLC in another state, you must register your LLC to do business in that state as a foreign LLC and pay their state fees. You may also have to set up tax and employer accounts in that state.<\/p>\n<h2><a id=\"biennial\"><\/a>Biennial Requirements in Nebraska<\/h2>\n<p>To keep your Nebraska LLC in good standing, file the biennial reports. Nebraska LLCs must file a&nbsp;<a href=\"https:\/\/sos.nebraska.gov\/business-services\/annualbiennial-reporting\" target=\"_blank\" rel=\"noopener\">biennial report with the Secretary of State<\/a>&nbsp;in odd-numbered years from the formation date of your LLC to remain in good standing. So, for example, if you formed your LLC in 2022, the next biennial report is due in 2023.
