Mail it to the Delaware Division of Corporations, 410 Federal Street, Suite 4, Dover, DE 19901. You must include a check payable to the \u201cDelaware Secretary of State\u201d for the filing fee. Once the corporation is formed, the shareholders appoint the board of directors, and the directors hold an initial or organizational meeting. If you are a sole owner, you own 100% of the stock. You assign a \u201cpar value,\u201d which is a minimum price at which the company can sell the stock. The par value does not represent the actual market value. Many business owners assign \u201cno par\u201d value (meaning no minimum price) to their stock to keep franchise taxes low. An EIN is a federal identification number for a business entity such as a corporation. You use this EIN on your corporate bank accounts, tax and employment accounts, and business transactions. You can obtain a business license and register your business for employment and tax accounts.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n            <\/div>\n<\/div>\n\n\n\n<h2><a id=\"business\"><\/a>Business and Tax Requirements in Delaware<\/h2>\n<p data-pm-slice=\"1 1 []\">Delaware businesses have specific requirements when operating in Delaware, especially if you have employees.<\/p>\n<p><strong>Corporate Income Tax.<\/strong> Delaware has a corporate income tax of 8.7%.<\/p>\n<p><strong>Annual Franchise Tax.<\/strong> The annual Delaware franchise tax is based on the stock and par value, with a minimum annual tax of $175.<\/p>\n<p><strong>Gross Receipts Tax. <\/strong>The <a href=\"https:\/\/revenue.delaware.gov\/frequently-asked-questions\/gross-receipts-tax-faqs\/\" target=\"_self\" rel=\"noopener\">gross receipts tax<\/a> is imposed on the total gross revenue for goods and services provided in Delaware. The tax ranges from .0945% to .07468%<\/p>\n<p><strong>Withholding Tax.<\/strong> If you have employees, you must withhold and pay <a href=\"https:\/\/revenue.delaware.gov\/frequently-asked-questions\/withholding-tax-faqs\/\" target=\"_self\" rel=\"noopener\">state withholding taxes<\/a>. You register for a withholding tax account at <a href=\"https:\/\/onestop.delaware.gov\/\" target=\"_self\" rel=\"noopener\">Delaware\u2019s One Stop portal<\/a>.<\/p>\n<p><strong>Unemployment Insurance Tax. <\/strong>Register for an unemployment insurance tax account with the Delaware Division of Labor. File <a href=\"https:\/\/laborfiles.delaware.gov\/main\/dui\/forms\/UC_1_4_24_25.pdf\" target=\"_self\" rel=\"noopener\">Form UC-1, \u201cReport to Determine Liability and if Liable Application for Employer Account Number.\u201d<\/a> The Division of Unemployment Insurance has a <a href=\"https:\/\/labor.delaware.gov\/divisions\/unemployment-insurance\/\" target=\"_self\" rel=\"noopener\">UI tax calculator<\/a> to estimate your tax rate.<\/p>\n<p><strong>Business Licenses and Permits. <\/strong>Your business must also comply with local requirements, such as business licenses, permits, and zoning.<\/p>\n<h2><a id=\"annual\"><\/a>Annual Requirements for a Delaware Corporation<\/h2>\n<p data-pm-slice=\"1 1 []\">Delaware has two annual requirements and fees to keep the corporation in good standing: the annual report and a franchise tax.<\/p>\n<ol>\n<li>\n<p><strong>Annual Report.<\/strong> Delaware requires a domestic corporation\u2019s annual report and a fee of $50.<\/p>\n<\/li>\n<li>\n<p><strong>Franchise Tax.<\/strong> The franchise tax is calculated on the number of shares and the par value of the shares. For a corporation with 1,000 shares at no par value, the tax is $175, Delaware\u2019s minimum franchise tax.
