The main differences<\/span> between a single-member LLC<\/span> (SMLLC<\/span>) and a multi-member LLC<\/span> (MMLLC<\/span>) are the ownership, and management structure, and taxation.<\/p>\n\n <\/div>\n\n\n\n

Both single-member LLCs<\/span> (SMLLCs<\/span>) and multi-member LLCs<\/span> (MMLLCs<\/span>) provide personal liability<\/span> protection for their members\u2019 personal assets<\/span>. This means the business owners<\/span> are not responsible for the business debts<\/span> and obligations.<\/p>\n

The business formation<\/span> of SMLLCs<\/span> and MMLLCs<\/span> as a legal entity<\/span> is straightforward and done with the secretary of state<\/span> or state office. Typically you file articles of organization<\/span> with the business name<\/span>, registered agent<\/span> name and address, number of members<\/span>, and LLC purpose. Each state has different LLC formation<\/span> rules<\/a>, filing fees<\/span>, and annual report<\/span> requirements, but the formation documents<\/span> are similar.<\/p>\n

What is a Single-Member LLC<\/span>?<\/h2>\n

A single-member LLC<\/span> is a limited liability company<\/span> owned and managed by one member. That member can be an individual, another LLC or corporation, or a foreign individual or entity.<\/p>\n

Who Manages a Single-Member LLC<\/span>?<\/h2>\n

Because a single-member LLC<\/span> only has one member, that member has complete control<\/span> of all the decision-making<\/span> and running of the LLC.

Even though a SMLLC<\/span> has a sole owner<\/span>, it is a good idea to draft an operating agreement<\/u><\/a>. Some states require an LLC to have an operating agreement, but if yours does not, it is a good idea to have it anyway. An operating agreement outlines the management structure, profit distribution, and process for dissolution or continuity of the LLC. Often a bank or financial institution may want to see the LLC operating agreement<\/span> in order to open up a business <\/span>bank account<\/span> or get a loan.<\/p>\n

How Is a Single-Member LLC<\/span> Taxed?<\/h2>\n

A single-member LLC<\/span> is treated as a \u201cdisregarded entity<\/span>\u201d for tax purposes<\/span> by the IRS<\/span>. A disregarded entity<\/span> means the IRS<\/span> ignores the single-member LLC<\/span> as its own entity and allows the member to include the business income<\/span> on the individual member\u2019s personal tax return<\/span>. This \u201cpass-through taxation<\/span>\u201d is a similar tax treatment<\/span> to a sole-proprietorship<\/span>. If the member does not have employees, they may not have to file for an employer identification number<\/span> (EIN), but can use their own social security<\/span> number.<\/p>\n

The individual member files a Schedule C<\/span> along with their Form 1040 income tax<\/span> return. The LLC does not pay a corporate income tax<\/span>, but is taxed at the individual member\u2019s income tax<\/span> rate. However, the SMLLC<\/span> may elect to be taxed as a C corporation by filing IRS<\/span> Form 8832, Entity Classification Election.<\/p>\n

What is a Multi-Member LLC<\/span>?<\/h2>\n

A multi-member LLC<\/span>, or MMLLC<\/span>, is an LLC owned by two or more individuals, corporations, LLCs, partnerships, or foreign business entities<\/span>.<\/p>\n

Who Manages a Multi-Member LLC<\/span>?<\/h2>\n

There are two types of management structures of a multi-member LLC<\/span>: member-managed or manager-managed. A member-managed LLC<\/span> means the members all participate in the management and decision-making<\/span>. A manager-managed LLC<\/span> means the members elect a manager or managers to make the day-to-day<\/span> decisions, and the other members take a more passive role in the LLC, akin to a silent partner. The manager does not have to be a member of the LLC.<\/p>\n

Because there are more members involved, the LLC should have an operating agreement<\/u><\/a>. This agreement should detail the roles and shared responsibilities<\/span> of the members, who makes decisions, and what happens if a member leaves the LLC.<\/p>\n

How Is a Multi-Member LLC<\/span> Taxed?<\/h2>\n

A multi-member LLC<\/span> is treated as a partnership for income <\/span>tax<\/span> purposes<\/span>. The LLC owners<\/span> each receives a Schedule K-1 form and the LLC files Form<\/span> 1065.<\/p>\n

The MMLLC<\/span> should have an employer identification number<\/span> to file taxes.<\/p>\n
