Chapter 7 involves <span data-term-id=\"57528664\">liquidation<\/span> and Chapter 11 and Chapter 13 involve reorganization.<\/em><\/strong><\/p>\n\n    <\/div>\n\n\n\n<p><span data-term-id=\"57528702\">Bankruptcy proceedings<\/span> can be confusing. Learn the common <span data-term-id=\"57528725\">bankruptcy terms<\/span> with a detailed explanation.<\/p>\n<h2>Glossary of Business <span data-term-id=\"57528725\">Bankruptcy Terms<\/span><\/h2>\n<p><strong><span data-term-id=\"57528678\">Adversary proceeding<\/span><\/strong>: An <span data-term-id=\"57528678\">adversary proceeding<\/span> is a lawsuit within a <span data-term-id=\"57528666\">bankruptcy case<\/span>. In this proceeding, a <span data-term-id=\"57528683\">bankruptcy judge<\/span> rules on validity or priority of a <span data-term-id=\"57528699\">creditor\u2019s claim<\/span>, <span data-term-id=\"57528698\">fraudulent transfers<\/span>, and injunctions.<\/p>\n<p><strong><span data-term-id=\"57528665\">Automatic stay<\/span><\/strong>: An <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/what-is-bankruptcy\/the-automatic-stay-stopping-creditors-with-bankruptcy.html\"><span data-term-id=\"57528665\">automatic stay<\/span><\/a> is a feature of <a href=\"https:\/\/www.findlaw.com\/bankruptcy.html\"><span data-term-id=\"57528684\">bankruptcy law<\/span><\/a> that goes into effect immediately upon filing a <span data-term-id=\"57528663\">bankruptcy petition<\/span>. It forces most creditors to stop all collection actions against the debtor, such as <span data-term-id=\"57528690\">foreclosures<\/span>, <span data-term-id=\"57528707\">repossessions<\/span>, <span data-term-id=\"57528675\">garnishments<\/span>, and evictions, and gives the debtor time to sort things out and come up with a solution to its problems.<\/p>\n<p><strong>Chapter 7:<\/strong> A <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/chapter-7.html\"><span data-term-id=\"57528673\">Chapter 7 bankruptcy<\/span><\/a>, voluntary or involuntary, permits the debtor to <span data-term-id=\"57528664\">liquidate<\/span> assets in an orderly way. In Chapter 7, a trustee is appointed, who collects all <span data-term-id=\"57528708\">nonexempt assets<\/span> of the debtor, sells those assets, and distributes the proceeds to creditors. Individuals, partnerships, and corporations may file for <span data-term-id=\"57528673\">Chapter 7 bankruptcy<\/span>. Businesses usually file under Chapter 7 when they can&#8217;t be run profitably, there is no chance of reorganizing, and the business wants to distribute its assets to creditors. There is no minimum or maximum debt limitation for Chapter 7, and the debtor need not be <span data-term-id=\"57528696\">insolvent<\/span>. If the debtor is an individual, he or she may be entitled to a &#8220;discharge&#8221; of debts. A debtor cannot dismiss a <span data-term-id=\"57528688\">Chapter 7 case<\/span> without cause and subject to court approval.<\/p>\n<p><strong>Chapter 11:<\/strong> A <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/business-bankruptcy\/chapter-11-bankruptcy.html\">Chapter 11 bankruptcy<\/a>, voluntary or involuntary, permits the debtor (usually a business) to restructure or reorganize its debt. A trustee is usually not appointed; the debtor is allowed to continue to manage its business. The debtor develops a &#8220;plan&#8221; outlining how its debts will be repaid. Usually, the plan does not primarily involve &#8220;<span data-term-id=\"57528664\">liquidating<\/span>&#8221; assets; rather, a debtor plans on reorganizing its debts so that it can continue to operate, hopefully on a profitable basis.<\/p>\n<p>Individuals, partnerships, and corporations may file under Chapter 11. Businesses usually file under Chapter 11 when they are facing a cash flow shortage or temporary downturn in business. Upon confirmation, a Chapter 11 debtor receives a discharge of any debt that arose before confirmation. However, confirmation of a plan does not discharge an <span data-term-id=\"57528717\">individual debtor<\/span> from certain debts that are exceptions to discharge under the <a href=\"https:\/\/codes.lp.findlaw.com\/uscode\/11\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"57528668\">Bankruptcy Code<\/span><\/a>. A debtor cannot dismiss a <span data-term-id=\"57528706\">Chapter 11 case<\/span> without cause and subject to court approval.<\/p>\n<p><strong>Chapter 11, Subchapter V<\/strong>: <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/business-bankruptcy\/subchapter-5-in-chapter-11-bankruptcy.html\">Subchapter V in Chapter 11<\/a> created by the <a href=\"https:\/\/www.flsb.uscourts.gov\/small-business-reorganization-act-2019-sbra\" target=\"_blank\" rel=\"noopener\"><u><span data-term-id=\"57528711\">Small Business<\/span> Reorganization Act of 2019<\/u><\/a>\u00a0allows <span data-term-id=\"57528711\">small business<\/span> owners to file for Chapter 11 bankruptcy under a less expensive and more streamlined process.<\/p>\n<p><strong>Chapter 13:<\/strong> A <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/chapter-13.html\">Chapter 13 bankruptcy<\/a> is used by individuals (including those engaged in business) to restructure or reorganize debt. A debtor &#8220;engaged in business&#8221; is someone who is self-employed and incurs trade credit in the production of income from that employment. The debtor may continue to operate his or her business in a <span data-term-id=\"57528728\">Chapter 13 case<\/span>. Partnerships and corporations may not file under Chapter 13.\u00a0<\/p>\n<p>The debtor proposes a plan that outlines how his or her debts will be repaid. The debtor must devote all of his or her disposable income to payments under the plan for three to five years. To <a href=\"https:\/\/www.uscourts.gov\/court-programs\/bankruptcy\/bankruptcy-basics\/chapter-13-bankruptcy-basics\" target=\"_blank\" rel=\"noopener\">qualify for Chapter 13 in 2026<\/a>, a debtor must have <span data-term-id=\"57528738\">regular income<\/span>; <span data-term-id=\"57528714\">unsecured debts<\/span> of less than $526,700; and <span data-term-id=\"57528672\">secured debts<\/span> of less than $1,580,125. A trustee is appointed in a limited capacity. The debtor receives a discharge when he or she has completed all payments under the plan. Only a debtor may commence a Chapter 13 <span data-term-id=\"57528702\">bankruptcy proceeding<\/span>. Creditors may not commence an involuntary proceeding under Chapter 13. A debtor may dismiss a <span data-term-id=\"57528728\">Chapter 13 case<\/span>.<\/p>\n<p><strong>Discharge:<\/strong> Generally, a <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/chapter-7\/the-debt-discharge-in-bankruptcy-faq.html\">discharge in bankruptcy<\/a> means that an <span data-term-id=\"57528717\">individual debtor<\/span>&#8216;s obligations are erased or wiped out. It protects the debtor from personal <span data-term-id=\"57528680\">liability<\/span> on the discharged debt and is only available to certain debtors and for certain debts. For example, debtors that are not individuals cannot receive a discharge in a <span data-term-id=\"57528673\">Chapter 7 bankruptcy<\/span>. In addition, if a corporate or partnership debtor is <span data-term-id=\"57528664\">liquidating<\/span> under Chapter 11 and will not continue operating on consummation of a plan, it will not receive a discharge. A creditor or the trustee may object to a debtor&#8217;s general discharge if the debtor has committed a fraud on the court.\u00a0<\/p>\n<p><strong>Discharge exceptions: Chapter 7<\/strong>: Certain particular debts are not dischargeable under <a href=\"https:\/\/codes.lp.findlaw.com\/uscode\/11\/5\/II\/523\" target=\"_blank\" rel=\"noopener\">Section 523 of the <span data-term-id=\"57528668\">Bankruptcy Code<\/span><\/a>. Debts that are not dischargeable include:<\/p>\n<ol>\n<li>\n<p>Debts for certain taxes;<\/p>\n<\/li>\n<li>\n<p>Debts arising from false pretenses, false representation, actual fraud, or false financial statements;<\/p>\n<\/li>\n<li>\n<p>Debts for certain luxury goods and cash advances;<\/p>\n<\/li>\n<li>\n<p>Debts that a debtor fails to list in the bankruptcy schedules;<\/p>\n<\/li>\n<li>\n<p>Debts arising from fraud or defalcation, embezzlement, or larceny;<\/p>\n<\/li>\n<li>\n<p>Debts for <span data-term-id=\"57528710\">alimony<\/span> and <span data-term-id=\"57528687\">child support<\/span>, and other obligations arising out of a divorce or separation;<\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.findlaw.com\/bankruptcy\/debt-relief\/your-options-when-you-can-t-repay-student-loans.html\">Student loans<\/a>;<\/p>\n<\/li>\n<li>\n<p><a href=\"https:\/\/www.findlaw.com\/criminal\/criminal-procedure\/restitution.html\">Restitution orders<\/a>;<\/p>\n<\/li>\n<li>\n<p>Debts arising from willful and malicious injury.<\/p>\n<\/li>\n<\/ol>\n<p><strong>Discharge exceptions: Chapter 11:<\/strong> The debtor receives a discharge of all debts that arose before confirmation of the plan. If the debtor is an individual, however, the same exceptions to discharge found in Section 523 of the <span data-term-id=\"57528668\">Bankruptcy Code<\/span> apply.<\/p>\n<p><strong>Discharge <span data-term-id=\"57528662\">exemptions<\/span>: Chapter 13:<\/strong> The only debts excepted from discharge under Chapter 13 are: (1) debts that were not listed on the debtor&#8217;s bankruptcy schedules; (2) debts for spousal maintenance, <span data-term-id=\"57528710\">alimony<\/span>, and <span data-term-id=\"57528687\">child support<\/span>; (3) student loans; (4) criminal fines and restitution; and (5) debts related to driving while intoxicated.<\/p>\n<p><strong><span data-term-id=\"57528662\">Exemptions<\/span>:<\/strong> <span data-term-id=\"57528717\">Individual debtors<\/span> are entitled to keep certain assets free from the claims of creditors, under federal or state <span data-term-id=\"57528662\">exemption<\/span> laws. Typical <span data-term-id=\"57528662\">exemptions<\/span> are the <a href=\"https:\/\/www.findlaw.com\/state\/property-and-real-estate-laws\/details-on-state-homestead-protections.html\">homestead <span data-term-id=\"57528662\">exemption<\/span><\/a> (equity in your personal residence); cash value of insurance policies, household goods and furnishings, clothing, wages, and tools used in the debtor&#8217;s job. The amount of the <span data-term-id=\"57528662\">exemption<\/span> depends on whether federal or state <span data-term-id=\"57528662\">exemptions<\/span> are available and\/or used.<\/p>\n<p><strong><span data-term-id=\"57528698\">Fraudulent transfer<\/span>: <\/strong>A <a href=\"https:\/\/dictionary.findlaw.com\/definition\/fraudulent-transfer.html\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"57528698\">fraudulent transfer<\/span><\/a> is a transfer made by a debtor with the intent or effect of reducing the assets available to creditors. A trustee has the power to avoid transfers of the debtor made with actual intent to hinder, delay, or defraud creditors, and certain transfers for which the debtor did not receive a reasonably equivalent value in exchange for the transfer.<\/p>\n<p><strong>Involuntary bankruptcy:<\/strong> In some cases, creditors may file a petition to commence an <a href=\"https:\/\/dictionary.findlaw.com\/definition\/involuntary-bankruptcy.html\" target=\"_blank\" rel=\"noopener\">involuntary bankruptcy<\/a>. Creditors may commence a Chapter 7 or a <span data-term-id=\"57528706\">Chapter 11 case<\/span> if they hold the required amount of debt.<\/p>\n<p><strong><span data-term-id=\"57528669\">Meeting of creditors<\/span><\/strong>: Also known as a 341 Meeting, this is a mandatory meeting in which the debtor appears with the creditors. The debtor is under oath and answers questions about the <span data-term-id=\"57528681\">debtor\u2019s property<\/span>, debts, income, and recent financial transactions.<\/p>\n<p><strong><span data-term-id=\"57528704\">Nondischargeable debt<\/span><\/strong>: Money still owed despite bankruptcy protection. These debts such as unpaid payroll taxes remain the responsibility of the debtor.<\/p>\n<p><strong>Plan confirmation:<\/strong> The court approval of a business&#8217;s reorganization plan in Chapter 11 <span data-term-id=\"57528702\">bankruptcy proceedings<\/span>.<\/p>\n<p><strong>Preference:<\/strong> A <a href=\"https:\/\/dictionary.findlaw.com\/definition\/preference.html\" target=\"_blank\" rel=\"noopener\">preference<\/a> is a payment received from a debtor by a creditor in the ninety days before the debtor&#8217;s <span data-term-id=\"57528691\">bankruptcy filing<\/span>. The trustee can recover such a payment if:<\/p>\n<ol>\n<li>\n<p>The debtor made the payment within ninety days of filing bankruptcy;<\/p>\n<\/li>\n<li>\n<p>The payment was made to or for the benefit of a creditor on a pre-existing debt; and<\/p>\n<\/li>\n<li>\n<p>The debtor was <span data-term-id=\"57528696\">insolvent<\/span> when it made the payment.<\/p>\n<\/li>\n<\/ol>\n<p><strong>Preferential payment<\/strong>: A payment made to a creditor in the 90 days before a <span data-term-id=\"57528691\">bankruptcy filing<\/span> that may be voided by the court if it gives that creditor an unfair advantage over other creditors.<\/p>\n<p><strong><span data-term-id=\"57528676\">Secured creditor<\/span><\/strong>: A creditor who has a legal claim to specific assets of a business, such as a mortgage on property or a <span data-term-id=\"57528674\">lien<\/span> on equipment.<\/p>\n<p><strong><span data-term-id=\"57528700\">Reaffirmation agreement<\/span>: <\/strong>This is an agreement between the debtor and the <span data-term-id=\"57528705\">debtor\u2019s creditor<\/span> in which the debtor agrees to a <span data-term-id=\"57528712\">repayment<\/span> even though the debtor filed for bankruptcy. A <span data-term-id=\"57528700\">reaffirmation agreement<\/span> must be in writing and approved by the court.<\/p>\n<p><strong>Relief from the <span data-term-id=\"57528665\">automatic stay<\/span>:<\/strong> Although the <a href=\"https:\/\/dictionary.findlaw.com\/definition\/automatic-stay.html\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"57528665\">automatic stay<\/span><\/a> prohibits collection of debts by a creditor, including <span data-term-id=\"57528676\">secured creditors<\/span>, a <span data-term-id=\"57528676\">secured creditor<\/span> can ask the <span data-term-id=\"57528671\">bankruptcy court<\/span> for &#8220;relief&#8221; from the <span data-term-id=\"57528665\">automatic stay<\/span> under certain conditions.\u00a0<\/p>\n<p><strong>Reorganization plan:<\/strong> A plan created by a business in Chapter 11 bankruptcy that outlines how it will restructure its operations and repay its creditors (this is mentioned under term Chapter 11 but please list separately and use keyword \u201creorganization plan\u201d)<\/p>\n<p><strong>Trustee:<\/strong> There are several &#8220;types&#8221; of <a href=\"https:\/\/www.findlaw.com\/bankruptcy\/what-is-bankruptcy\/what-is-a-trustee-in-bankruptcy-.html\"><span data-term-id=\"57528693\">bankruptcy trustees<\/span><\/a>. The <a href=\"https:\/\/www.justice.gov\/ust\" target=\"_blank\" rel=\"noopener\"><span data-term-id=\"57528685\">U.S. Trustee<\/span><\/a> is responsible for oversight of the <span data-term-id=\"57528745\">bankruptcy process<\/span> as a whole. Their duties are to maintain and supervise a panel of private trustees (usually, but not always, private attorneys) to serve in <span data-term-id=\"57528688\">Chapter 7 cases<\/span>, review fee applications filed in <span data-term-id=\"57528706\">Chapter 11 cases<\/span>, monitor plans and disclosure statements in <span data-term-id=\"57528706\">Chapter 11 cases<\/span>, monitor activities of creditor&#8217;s committees, monitor the progress of <span data-term-id=\"57528706\">Chapter 11 cases<\/span>, and assist the United States Attorney in criminal prosecutions.<\/p>\n<p><strong><span data-term-id=\"57528679\">Unsecured creditor<\/span><\/strong>: A creditor who does not have a legal claim to specific assets of a business, and may be paid a smaller portion of the debt owed during <span data-term-id=\"57528702\">bankruptcy proceedings<\/span> (similar to above, this is related to <span data-term-id=\"57528665\">Automatic Stay<\/span> but should be listed separately).<\/p>\n<p><strong>Voluntary bankruptcy:<\/strong> A debtor files a petition to commence a <a href=\"https:\/\/dictionary.findlaw.com\/definition\/voluntary-bankruptcy.html\" target=\"_blank\" rel=\"noopener\">voluntary bankruptcy<\/a>.<\/p>\n<h2>Hire a Legal Expert<\/h2>\n<p>If you are struggling with whether or not to file bankruptcy, or just need some legal advice, contact an experienced <a href=\"https:\/\/lawyers.findlaw.com\/bankruptcy-law\/\" target=\"_blank\" rel=\"noopener\">bankruptcy attorney<\/a> in your area today.
