This is referred to as the &quot;<a href=\"https:\/\/dictionary.findlaw.com\/definition\/due-diligence.html\" adhocenable=\"false\" target=\"_blank\" rel=\"noopener\">due diligence<\/a> investigation.&quot; <\/p>\n<p>The goal of the due diligence investigation is to understand fully the business of the company, the risks and problems facing it, and to assure the investing public that the company&#8217;s registration statement is complete and accurate. The following checklist is intended to provide you with a general idea of the documents and information you will have to produce to cooperate with the underwriter and its legal counsel in its due diligence investigation.<\/p>\n<ol>\n<li><b>Organization and Good Standing<\/b><ul>\n<li>The Company&#8217;s <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/writing-and-filing-the-articles-of-incorporation.html\" adhocenable=\"false\">Articles of Incorporation<\/a>, Bylaws, and all amendments thereto.<\/li>\n<li>The Company&#8217;s minute book, including all minutes and resolutions of shareholders and directors, executive committees, and other governing groups.<\/li>\n<li>The Company&#8217;s <a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/corporate-structure-directors-to-shareholders.html\" adhocenable=\"false\">organizational chart<\/a>.<\/li>\n<li>The Company&#8217;s list of shareholders and number of shares held by each.<\/li>\n<li>Copies of agreements relating to options, voting and copies of all consulting agreements, agreements regarding inventions and licenses or assignments of intellectual property to or from the Company.<\/li>\n<li>Any patent clearance
