These personal assets include bank accounts and homes. To maintain this limited liability, the owners of the corporation must ensure that the business complies with certain corporate formalities. In addition, the owners must provide adequate funding for the corporation. The owners cannot use the corporation merely as an extension of their own persona.<\/p>\r\n<h2>Are corporations different from partnerships, sole proprietorships, or&nbsp;LLCs?<\/h2>\r\n<p>Yes, corporations differ significantly.&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/sole-proprietorships.html\">Sole proprietorships<\/a>&nbsp;are the simplest form, where the business owner and the business are one.&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/partnerships.html\">Partnerships<\/a>&nbsp;involve many people doing business together. General partnerships are typically liable for the business&#8217;s debts. LLCs, or&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/llcs.html\">limited liability companies<\/a>, combine some features of corporations and partnerships. They offer limited liability like corporations but often have simpler tax structures.<\/p>\r\n<p>The way that corporations are unique and different from other business structures is in the way that the corporations pay taxes. Corporations are their own legal entities and&nbsp;pay taxes accordingly. The corporation calculates taxable corporate income by subtracting salaries and bonuses. Overhead and other expenses are also subtracted from its profits.<\/p>\r\n<p>Unlike corporations, the profits from LLCs, partnerships, and sole proprietorships pass through to the owners. As such, those businesses are not separately taxed. Instead, the owners of LLCs, partnerships, and sole proprietorships are personally taxed on their own respective shares of the business profits.<\/p>\r\n<h2>Who would benefit from forming a corporation?<\/h2>\r\n<p>Anyone conducting business activities that come with potential liabilities might benefit from incorporating. This can include product manufacturers, retail store owners, and even some service providers. Those looking to raise capital through selling shares or those planning to do business in multiple states might also opt for a corporation.<\/p>\r\n<p>If your sole reason for forming a corporation is to gain the limited liability that comes with it, you may want to consider&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/forming-an-llc.html\">forming an LLC<\/a>&nbsp;instead. However, here are some situations in which forming a small business corporation could benefit both you and your small business:<\/p>\r\n<ul>\r\n<li>You feel that you need the option of issuing stocks (shares in your business) to attract or keep good employees.<\/li>\r\n<li>Your business is already very profitable, and you would save money by keeping some of your profits inside of your business. Corporate taxes can be lower than personal income taxes.<\/li>\r\n<li>Your business is a family business, and you want to start making gifts of shares of your business for estate planning reasons. You will be able to give away shares of your business while still maintaining ownership and control of your business.<\/li>\r\n<li>You are getting pressure to incorporate your small business from others. For example, if you are an independent contractor, the people you want to work for may insist that you first incorporate before they give you their business.<\/li>\r\n<\/ul>\r\n<h2>I want to form a small business corporation. How do I do it?<\/h2>\r\n<p>Depending upon&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/state-guide-corporation-laws.html\">the state that you are in<\/a>, there are generally several steps that you have to take to incorporate your small business. First, you will have to file your&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/writing-and-filing-the-articles-of-incorporation.html\">articles of incorporation<\/a>&nbsp;with the office in your state government that deals with corporations, which is usually&nbsp;part of the&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/state-guide-secretary-of-state-websites.html\">secretary of state&#8217;s office<\/a>. You will have to pay a filing fee when you file your articles of incorporation that may&nbsp;range from about $100 to $800.<\/p>\r\n<p>The articles of incorporation must generally include:<\/p>\r\n<ul>\r\n<li>The name of your corporation<\/li>\r\n<li>Your corporation&#8217;s legal address<\/li>\r\n<li>The name and address of your corporation&#8217;s &quot;registered agent.&quot; This person is the person of record who will be contacted by any member of the public who needs to sue or speak about your corporation, and<\/li>\r\n<li>Depending on the laws of your state, the names of all your corporation&#8217;s owners<\/li>\r\n<\/ul>\r\n<p>Also, when you form a corporation, you must also create your&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/writing-corporate-bylaws.html\">corporate bylaws<\/a>.&nbsp;This document will set out the rules that will govern how your corporation will run. It also lays out the decision-making process that your corporation will use.<\/p>\r\n<p>You might also need to get a business license and an employer identification number (EIN) or tax ID from the IRS. If operating under a different name, register a DBA (Doing Business As) with the state. Depending on the state, there might be a franchise tax or an annual report requirement.<\/p>\r\n<p>Lastly, before your small business corporation gets up and running, you must hold a meeting with all the directors of the corporation. At this meeting, you will issue stock to the initial owners of the corporation.<\/p>\r\n<h2>Do corporations need more paperwork than other types of businesses?<\/h2>\r\n<p>In short, yes. This is because&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/the-basics-of-small-business-incorporation.html\">corporations<\/a>&nbsp;must abide by laws and rules that unincorporated businesses do not. As one example, corporations must hold annual meetings for shareholders. They should take minutes for any important decisions made. Also, corporations must file their own taxes. This means you must keep a very detailed financial record that includes a double-entry bookkeeping system.<\/p>\r\n<h2>Is corporate income taxed differently than other types of income?<\/h2>\r\n<p>Yes. Unlike unincorporated small businesses, small business corporation owners do not pay taxes on any business profits kept within the corporation. Instead, the owners of corporations only pay taxes on any salaries, bonuses, or dividends paid in return for their services to the business. The corporation itself must pay taxes on any profits left inside of the corporation from year to year.<\/p>\r\n<p>You should be aware that this tax scheme&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/tax-differences-between-c-and-s-corporations.html\">does not apply to S-type corporations<\/a>. An S-type corporation is one where the owners of the corporation elect to be taxed as if the business were a partnership. Under an S-type corporation, all the business profits pass through to the business owners, who will report these profits as income on their personal tax returns.<\/p>\r\n<h2>What is double taxation, and does corporate income really get taxed twice?<\/h2>\r\n<p>People often want to form a small business corporation due to their concerns about&nbsp;double taxation.&nbsp;This means the government taxes certain income twice: first at the corporation level and then when the owners receive the money. Only the income paid to owners as dividends undergoes double taxation. A dividend represents the corporate profit the corporation pays to its shareholders for their investment.<\/p>\r\n<p>Double taxation typically happens when a corporation gives money to individuals not employed by the business. That&#8217;s because the corporation can categorize money given to its employees as salary or bonus. They can then deduct these salaries and bonuses from the corporate tax as valid business expenses. This avoids the taxes on them, but&nbsp;when the corporation pays money to those not employed by it, it usually considers that money as a dividend. This leads to double taxation.<\/p>\r\n<h2>What are professional corporations?<\/h2>\r\n<p>A&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/professional-corporations.html\">professional corporation<\/a>&nbsp;is a special type of corporation that only members of a certain profession can create. Professional corporations are often formed by lawyers, doctors, and other healthcare workers. Professional corporations have the advantage of providing their owners with a limited personal liability for the malpractice of their associates.<\/p>\r\n<h2>Should I worry about securities laws when I decide to issue stock in my corporation?<\/h2>\r\n<p>Generally speaking,&nbsp;<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/business-finances\/securities.html\">securities laws<\/a>&nbsp;are designed to protect investors from the bad acts of business owners.
