Your name should be descriptive but simple and easy to remember. It should also\u00a0convey what your organization does. Choose a name that resonates with your\u00a0target audience.<\/p>\n<p>There are also legal considerations when\u00a0<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/starting-a-business\/choosing-a-business-name.html\">choosing your nonprofit&#8217;s name<\/a>. Religious corporations are organized under the\u00a0<a href=\"https:\/\/codes.findlaw.com\/ny\/religious-corporations-law\/\" target=\"_blank\" rel=\"noopener\">Religious Corporations Law<\/a>\u00a0to enable members to meet for worship or other religious observances.<\/p>\n<p>All non-religious corporations are organized as\u00a0<a href=\"https:\/\/codes.findlaw.com\/ny\/notforprofit-corporation-law\/npc-sect-201\/\" target=\"_blank\" rel=\"noopener\">one of the four following types<\/a>:<\/p>\n<h3>Type A<\/h3>\n<p>This type includes corporations that fall into the following categories:<\/p>\n<ul>\n<li>Civic<\/li>\n<li>Political<\/li>\n<li>Social<\/li>\n<li>Athletic<\/li>\n<li>Fraternal<\/li>\n<li>Agricultural<\/li>\n<li>Horticultural<\/li>\n<li>Patriotic<\/li>\n<\/ul>\n<p>Also included as Type A\u00a0are associations organized for the following purposes:<\/p>\n<ul>\n<li>Professional<\/li>\n<li>Industrial<\/li>\n<li>Commercial<\/li>\n<li>Trade<\/li>\n<li>Service<\/li>\n<\/ul>\n<p>These are organized for non-business purposes.<\/p>\n<h3>Type B<\/h3>\n<p>Type B includes corporations organized for non-business purposes:<\/p>\n<ul>\n<li>Charitable<\/li>\n<li>Educational<\/li>\n<li>Cultural<\/li>\n<li>Religious<\/li>\n<li>Literary<\/li>\n<li>Scientific<\/li>\n<li>Prevention of cruelty to children or animals<\/li>\n<\/ul>\n<p>There are more types of corporations than those formed for business or non-business purposes. These types are hybrids noted in Type C and Type D.<\/p>\n<h3>Type C<\/h3>\n<p>Type C applies to nonprofits organized for public or quasi-public purposes, often those that a for-profit corporation usually performs. This includes Type A and Type B activities conducted by an organization that would otherwise classify as Type C.<\/p>\n<h3>Type D<\/h3>\n<p>Type D are nonprofit corporations organized for any other purpose.<\/p>\n<h3>Overlapping Types<\/h3>\n<p>Your nonprofit might be classified under more than one type. For example:<\/p>\n<ul>\n<li>If your nonprofit&#8217;s activities could be classified as both Type A and Type B, it should be incorporated as a Type B nonprofit.<\/li>\n<li>If your nonprofit&#8217;s activities could be classified as Type C along with any of the other types, you will be classified as Type C only.<\/li>\n<\/ul>\n<p>If you don&#8217;t know which type is best for your nonprofit and tax-exempt status, consult with a\u00a0<a href=\"https:\/\/lawyers.findlaw.com\/business-organizations\/new-york\/?fli=dcta\" target=\"_blank\" rel=\"noopener\">NY nonprofit lawyer<\/a>.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            3\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"Three\">Decide Whether To Appoint a Registered Agent<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>New York is one of the few states where you do not need to appoint a\u00a0<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/starting-a-business\/what-is-a-registered-agent-.html\">registered agent<\/a>\u00a0for service of process. An agent receives legal documents on behalf of your organization.<\/p>\n<p>The New York Secretary of State serves as the default statutory agent for\u00a0<a href=\"https:\/\/dictionary.findlaw.com\/definition\/service-of-process.html\" target=\"_blank\" rel=\"noopener\">service of process<\/a>. The Secretary of State forwards any documents it receives to the organization.<\/p>\n<p>When you register your\u00a0nonprofit corporation\u00a0with the state, you will be given the option of naming a registered agent. As the organizer, you can name yourself or anyone involved with your organization as the\u00a0registered agent.<\/p>\n<p>Your registered agent must live in New York. If you use a registered agent service, it must be authorized to transact business in the state. Your registered agent must also be available during regular business hours to accept\u00a0service of process.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            4\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"Four\">Recruit Directors and Elect Officers<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>The board of directors serves as a\u00a0<a href=\"https:\/\/www.findlaw.com\/smallbusiness\/incorporation-and-legal-structures\/corporate-structure-directors-to-shareholders.html\">corporation&#8217;s governing body<\/a>.<\/p>\n<p>Until 2018, New York law allowed nonprofit corporations to have a single member elect its board. In December of that year, the state\u00a0<a href=\"https:\/\/codes.findlaw.com\/ny\/notforprofit-corporation-law\/npc-sect-601.html\" target=\"_blank\" rel=\"noopener\">enacted a new law<\/a>\u00a0to increase the number of required voting members from one to three. The goal of this change was to prevent nonprofit corporations from furthering the private interests of a single person.<\/p>\n<p>New York law requires that you name at least three directors to your\u00a0nonprofit corporation. Each director must be at least 18 years old, but\u00a0younger directors are\u00a0allowed for organizations involved in youth activities.\u00a0The director is not required to be a state resident or a member of the organization.<\/p>\n<p>Terms for directors must be between one and five years.\u00a0New York requires that you name the following positions:<\/p>\n<ul>\n<li>President<\/li>\n<li>At least one vice-president<\/li>\n<li>Secretary<\/li>\n<li>Treasurer<\/li>\n<\/ul>\n<p>These specific offices require a one-year term.<\/p>\n\n                    <\/div>\n                <\/div>\n            <\/div>\n                    <div class=\"steps-container-item\">\n                <div class=\"category-overview category-overview-item-steps\">\n                    <div class=\"category-overview-heading category-overview-heading-steps\">\n                        <div class=\"category-overview-steps\">\n                            5\n                        <\/div>\n                        <h2 class=\"category-overview-steps-title\" id=\"Five\">Secure Any Necessary State Agency Approval<\/h2>\n                    <\/div>\n                    <div class=\"category-overview-content-steps\">\n                        <p>You may need to get the written approval of a state agency to incorporate legally.
